Website and Platform Terms of Service
Master agreement for business customers and authorized platform users
Contracting business: Xenspire Group Inc. d/b/a OneSource Professional Search
Effective date: November 4, 2026 | Version: 1.5
1. Scope and agreement
These Terms govern access to the OneSource Professional Search public website, the HiringOS employer platform, the Talent Connect individual portal, and associated Talent Vault functionality, as well as business and candidate accounts operated by Xenspire Group Inc. d/b/a OneSource Professional Search ("OneSource"). Business customers and their authorized representatives agree to these Terms, the HiringOS Service Terms, and the Billing and Payment Terms at account registration through an affirmative acceptance. Candidate users agree to these Terms as they concern individual accounts, acceptable use, and access; candidate accounts do not create payment obligations or the employer-facing service contract. The Privacy Policy and Candidate Privacy Notice describe personal-information practices.
If an executed order conflicts with the general HiringOS Service Terms, the order controls only as to expressly identified commercial particulars. HiringOS Service Terms govern product-specific matters over these general Terms; Billing and Payment Terms govern payment processing, except where the accepted order expressly identifies a different approved payment schedule.
2. Acceptance, organizational authority and versioning
A person creating an organizational account represents that they are at least 18 and authorized to bind the organization to these Terms, HiringOS Service Terms and Billing and Payment Terms. A candidate registering an individual account represents that the information provided is accurate and that the person meets applicable eligibility requirements; candidates are not charged for recruiting services. At registration, OneSource records the accepting user, account type, timestamp and terms versions. A later Hiring Kit or Search Order approval authorizes the particular role, services and stated charges; it is not a second acceptance of the master legal terms.
Each paid order requires the customer to confirm the displayed scope, price, applicable credits, promotion, approved add-ons and milestones through an authorized action. An unapproved Hiring Kit, draft, or quote is not a redeemed service order. Order approvals do not replace the contract acceptance recorded at registration.
Portals, separate account roles and data boundaries
The public website at onesourcepros.com provides business and recruiting information and routes visitors to the appropriate application. Business users register and manage job requests at hos.onesourcepros.com (HiringOS). Individual professionals register at talentconnect.onesourcepros.com (Talent Connect). Talent Vault previews may be shown within HiringOS or by a client-specific, nonpublic link provided by a OneSource Partner without requiring a separate account or login. Talent Vault is not a separate candidate registration service. Accessing a direct link does not itself create an account or constitute affirmative acceptance of a customer services agreement.
Business account users and candidate account users have different permissions. Candidates are not charged RecruiterOS or SearchOS employer service fees solely because they create a Talent Connect account. A business account may not be used to impersonate a candidate or to access information beyond the user’s authorization. Registration acceptance occurs for the relevant account type; a business customer subsequently authorizes each paid Hiring Kit, Search Order and add-on in its transaction workflow.
OneSource may use linked internal recruiting records to fulfill these services under the Privacy Policy and Candidate Privacy Notice, but that does not authorize employer users to view raw candidate records, search internal ATS databases, or access contact details outside specifically permitted workflows.
3. Accounts and access
Business customers must maintain accurate organization, billing and user records, safeguard credentials and promptly notify OneSource of misuse. Individual candidates must maintain accurate profiles, protect access credentials and refrain from impersonation or misuse. OneSource may limit access when reasonably needed for safety, security, compliance or breach of these Terms, with notice when practicable.
4. Products and orders
HiringOS Service Terms contain Part I (common platform service rules), Schedule A (RecruiterOS), and Schedule B (SearchOS). These active schedules are incorporated into the master business agreement at account registration. Each approved Hiring Kit or Search Order separately authorizes specific charges and order commitments, including credits, eligible wallet balances, and future milestones.
HiringOS product schedules and future services
FlexWorkforceOS is not included in the active November 4, 2026 schedules. A reserved Schedule C does not itself activate any staffing product or bind a customer to future services. New product-specific terms or changes materially affecting rights or charges will be communicated and accepted as required before those services become effective.
At initial launch, available paid products are RecruiterOS (an applicant-driven recruiter-per-job service) and SearchOS (proactive Engaged Search and Retained Executive Search). FlexWorkforceOS and any employer-of-record, payroll or worker-placement services are not included in this agreement unless separately launched under expressly applicable terms.
A RecruiterOS Hiring Credit applies to one opening, even if other openings have identical titles. A Hiring Kit states the approved role baseline, scope and authorized options. A Search Order identifies the classification, fee basis, covered position, exclusivity, milestones and exceptions. The customer must review the applicable order before approval.
Talent Connect opportunities, referrals and mentorship
Talent Connect enables eligible individual account holders to maintain professional profiles and preferences, review curated opportunities, communicate with OneSource and, if enabled, opt in to referral or mentorship features. Opportunities are informational and do not guarantee interviews, employment, compensation or selection.
Participation in any referral feature is voluntary. Referrers must have a lawful basis to provide another person’s contact information, must not upload confidential employer information, and must not represent that OneSource guarantees a job or payment. OneSource will display any applicable reward eligibility, referral qualification, timing, restrictions and payment terms in separate program rules before activating a paid or incentivized referral. No referral reward arises solely from creating an account or making a referral unless such terms expressly provide for one.
Mentorship features facilitate professional introductions and discussion; mentors are not OneSource employees or licensed advisers merely because they participate. Participants must act respectfully, avoid harassment, obtain permission before sharing another person’s information, and must not solicit prohibited payments or promise jobs. Program-specific eligibility, safeguarding, mentor verification and any fees will be separately disclosed when a mentorship program is enabled.
OneSource may moderate and suspend referral or mentorship activity where necessary to prevent fraud, misuse, privacy violations or harassment. Users remain responsible for the statements and content they submit.
5. Customer responsibilities and lawful hiring
The customer provides truthful job requirements, compensation and company information; obtains necessary rights to submit materials; responds to candidate and search communications; and conducts hiring in accordance with applicable employment, discrimination, accessibility, privacy, salary-transparency and immigration laws. The customer alone decides whom to interview, hire and employ; sets terms of employment; issues official offers; conducts any required background checks and employment authorization processes; and handles payroll, benefits and onboarding. OneSource supports and coordinates recruiting but does not become the employer.
The customer must not ask OneSource to use unlawful selection criteria, conceal legally required job information or improperly disclose candidate data.
Talent Vault candidate previews
Invited recipients of client-specific links and authorized HiringOS business users may see generalized professional summaries in Talent Vault. Such previews are designed to exclude names, direct contact information, resumes and identifying candidate records. A preview is not an employer submission, authorization to contact a person, or a promise that the underlying individual is available or interested. Direct-link recipients should use the previews only to evaluate legitimate hiring needs and contact the assigned OneSource Partner; they must not attempt to identify individuals from the previews. The link may be revoked or expire.
Because combinations of professional attributes may identify a person in some circumstances, users may not attempt to re-identify, triangulate, scrape, match, contact, or externally publish the person behind a preview. Customers must request an introduction through OneSource. OneSource will obtain the candidate’s authorization for the specific employer submission before disclosing an identifiable resume or candidate profile.
OneSource may limit, filter, expire, revoke, or remove Talent Vault access, including a direct link, to protect confidentiality, prevent re-identification, and comply with applicable law. For users without an accepted account agreement, our Talent Vault Disclosure & Introduction Policy is a public notice of intended use and conditions; opening a link alone does not establish contractual assent.
6. Candidate records and confidentiality
Candidate resumes, profiles, interview notes, assessments and personal contact details are confidential and may be used by a customer only for legitimate evaluation of the opportunities for which the candidate was authorized to be submitted, subject to applicable law and the relevant order. Customers must restrict access to staff with a legitimate hiring need; must not resell, publish or upload candidate information into unrelated systems; and must honor candidate rights and lawful requests. Candidate-protection terms in SearchOS govern fees for introductions, not ownership of individuals.
Each party will protect the other party’s nonpublic business information with reasonable care and disclose it only to personnel and providers who need it to perform obligations, subject to lawful disclosures and reasonable confidentiality exceptions.
7. Intellectual property and permitted use
OneSource and its licensors retain ownership of the platform, recruiting workflows, software, branding and pre-existing materials. Subject to compliance with these Terms, customers receive a limited, nonexclusive, nontransferable right to use their account and deliverables for internal hiring purposes. Customers retain ownership of their job descriptions and supplied materials and grant OneSource permission to use them as needed to deliver approved services. No license to the platform’s source code or proprietary workflows is granted.
8. Prohibited conduct and security
Users may not access others’ records without authorization; scrape or reverse engineer the platform; introduce malware; interfere with operations; upload unlawful or infringing content; circumvent purchase or access controls; or use candidate information for unrelated marketing or discriminatory purposes. OneSource may investigate reported abuse and suspend access proportionately, subject to law and contractual obligations.
9. AI-assisted operations
OneSource may use human-supervised AI tools to help summarize recruiting information, support matching and develop recommendations. OneSource personnel review information and manage recruiting decisions; the employer retains final hiring authority. Use of an AI tool does not eliminate duties concerning accuracy, confidentiality, nondiscrimination or applicable automated-decision requirements. Additional disclosures appear in the Privacy Policy and Candidate Privacy Notice. If a particular AI workflow would trigger specific legal assessments or notices, OneSource will address those requirements before use.
10. Fees, billing and taxes
The customer agrees to pay fees and authorized expenses specified in the HiringOS Service Terms, accepted order and Billing and Payment Terms. Stripe payment at checkout is the default. Invoice billing is available only upon customer request and OneSource approval, documented through a separately accepted Payment Terms Agreement. Customer is responsible for applicable transaction taxes other than taxes on OneSource’s net income, subject to law.
11. No guarantee of hiring outcome
Recruiting results depend on candidate interest, market conditions, job requirements, customer actions and third parties. Unless expressly included in an approved service schedule, OneSource does not guarantee a minimum number of applicants or candidates, interviews, a hire, a completion date or continued employment. Express RecruiterOS accountability credits and SearchOS replacement-search rights remain available as stated in the HiringOS Service Terms.
12. Disclaimers and limitation of liability
Except for express service commitments and to the extent permitted by law, the website and platform are provided without implied warranties of uninterrupted operation, merchantability or fitness for a particular purpose. Neither party excludes liability that cannot lawfully be excluded.
Except where prohibited by law, each party excludes indirect, incidental, special, consequential and punitive damages, including lost profits, arising from these Terms, even if advised of the possibility. OneSource’s aggregate liability for a claim arising from a paid order will not exceed the greater of (a) fees actually paid or payable to OneSource for that order during the 12 months preceding the event giving rise to the claim or (b) $3,900. For a claim involving only free site or candidate-account access, OneSource’s aggregate liability will not exceed $100. These limits do not restrict liability for fraud, willful misconduct, payment obligations, misuse of the other party’s intellectual property or information, or liability that cannot lawfully be limited. Any confidentiality and data-protection liability is subject to mandatory applicable law.
13. Duration, cancellation and survival
An organizational account may be closed on request, but account closure does not cancel accepted orders or extinguish earned fees, candidate-protection obligations or legally necessary retention. Product-level cancellation and pause rules apply under the HiringOS Service Terms. Clauses that by their nature should survive termination (including confidentiality, payment obligations, candidate protection and dispute resolution) survive to the extent stated and permitted by law.
14. Notices, changes and legal contact
Privacy and legal questions may be sent to privacy@onesourcepros.com or by mail to 11 Apex Dr #300, Marlborough, MA 01752, United States. Updated policies will display a new effective date. OneSource will provide appropriate notice of material changes and seek renewed acceptance where required; posted changes do not retroactively alter fees or obligations already earned under accepted orders.
15. Governing law and dispute resolution
Delaware law governs these Terms and business-customer disputes without regard to conflicts-of-law principles, except to the extent mandatory law protects a party or candidate in another jurisdiction. Before filing a lawsuit, the parties will attempt in good faith to resolve a contract dispute by written notice to privacy@onesourcepros.com and a 30-day opportunity to confer, except when urgent injunctive relief or a statutory deadline requires earlier action. For business-customer claims, the state and federal courts located in Delaware are the exclusive forum, to the extent permitted by law. Candidates and other individual users are not required to surrender nonwaivable statutory rights or protections concerning venue or remedies. No mandatory arbitration agreement is imposed by these Terms.
16. Severability, assignment and entire agreement
If part of these Terms is unenforceable, the remainder remains effective to the extent lawful. Neither party may assign its obligations without the other party’s consent, except to a successor in a bona fide restructuring or sale that assumes the agreement and provides reasonable notice. These Terms, the applicable HiringOS Service Terms, Billing and Payment Terms and each authorized order form the entire agreement for the relevant service. The failure to enforce a term is not a waiver.
