Billing and Payment Terms

1. Scope and priority

These Billing and Payment Terms apply to purchases of RecruiterOS and SearchOS from Xenspire Group Inc. d/b/a OneSource Professional Search, under the Terms of Service, applicable HiringOS Service Terms and approved Hiring Kit or Search Order. Each order must disclose the amount, fee basis, applicable taxes and payment events before acceptance. Where there is a conflict about payment timing, a separately approved and expressly accepted Payment Terms Agreement or specific Search Order milestone schedule controls for that order.

Separate candidate and employer accounts

RecruiterOS and SearchOS fees apply only to employer customers who authorize purchases through HiringOS. Creating or maintaining a Talent Connect individual candidate account does not, by itself, require payment of an employer Hiring Credit or SearchOS fee. Referral and mentorship features, if they later offer rewards or charge separate fees, will be governed by clearly disclosed program-specific rules accepted before that transaction or participation.

Viewing a generalized Talent Vault preview within an authorized HiringOS employer account does not, by itself, constitute a paid search order, a candidate submission, or a trigger for a professional placement fee. Any paid introduction or service must be authorized under the applicable order and HiringOS Service Terms.

Order-level payment summary and authorization

Before an authorized business customer approves a Hiring Kit, Search Order, or additional chargeable service, HiringOS shows the selected product, covered role, applicable fee and fee basis, Hiring Credits available and to be redeemed, eligible HiringOS wallet balance to be applied, any authorized discounts or coupons, amount immediately payable after applicable credits, and any future payment milestones. The customer affirmatively authorizes the identified redemption, wallet use, charges and disclosed future commitments.

Hiring Credits and HiringOS wallet credits are separate instruments. Hiring Credits are valid and redeemed subject to the applicable HiringOS Service Terms. Wallet credits apply only toward eligible services or add-ons; they are not unrestricted cash or an automatic discount on every SearchOS fee. A zero-dollar amount due at authorization does not remove future milestones or the full placement fee under an eligible first-time Engaged Search coupon.

After authorization, any balance immediately due is processed through Stripe unless an approved, separately accepted invoice-payment arrangement applies. Unused credits remain subject to their 12-month validity period and generally are not voluntarily refunded, subject to applicable law.

2. Default Stripe payment at checkout

Immediate payment through Stripe checkout is the default for purchases and charges due at authorization. An authorized customer user approves the displayed price and applicable taxes before payment. Payment method details are handled by Stripe under its payment-service terms; OneSource receives transaction status and billing data needed to administer the purchase. A separate customer-approved installment plan or invoice billing agreement may alter the due date for the specified charges.

3. Invoice billing by request and approval only

A customer may request invoice billing instead of paying immediately through Stripe. Net 7 is OneSource’s recommended invoice option, but it is not automatically granted; OneSource may approve a different Net 7, Net 15, Net 30, Net 45 or Net 60 term as appropriate. Until approved and affirmatively accepted through a separate Payment Terms Agreement, the account remains on immediate Stripe payment terms. Any prior proposal by a OneSource Partner has no effect until the customer accepts the approved terms.

A separate customer-accepted Payment Terms Agreement will display the customer organization, authorized approver, products covered, approved Net 7, 15, 30, 45 or 60 term, effective date and relevant Billing and Payment Terms version. A OneSource Partner’s proposal does not change payment terms until the customer accepts the approved arrangement. The platform records the approval identity, account, terms and timestamp.

4. Required billing profile

For invoice approval, the customer should supply its legal entity name, billing address, billing email, accounts-payable contact, country/state, applicable tax details and any required purchase-order or vendor onboarding identifier. A PO number is optional unless the customer requires one. OneSource may request tax exemption documentation and billing validation proportionate to the arrangement. The customer must update details promptly; inaccurate or missing information may delay invoice approval, not cancel earned charges.

5. Hiring Credit purchases and installments

Individual RecruiterOS credits cost $3,900. Packages of five or ten cost $3,650 per credit; fifteen cost $3,400; and twenty-five cost $3,150. A package paid over three months incurs 5% additional total package cost, or over six months 10%, under an accepted installment schedule. Credits are purchased before redemption; the Hiring Kit approval redeems one credit and activates the 90-day service period. Purchased unused credits expire 12 months after the agreement date. Redeemed credits are ordinarily nonrefundable subject to law. No later bundle discount applies retroactively to individually purchased credits.

Installment package purchases require a customer-approved schedule displaying each payment amount, due date and 5% (three-month) or 10% (six-month) package premium. Credit activation and missed installment treatment are governed by the approved schedule; OneSource may suspend further redemptions after notice for unpaid undisputed amounts, without forfeiting rights or remedies required by law.

6. Add-ons, amendments and extensions

Any charge for paid advertising beyond the included sponsored listing, an approved RecruiterOS $1,000 chargeable amendment, a $1,500 extension, optional assessments, travel or extraordinary expenses requires advance customer authorization documented in HiringOS or an equivalent approved written process. No fee is due solely because OneSource suggested an add-on. Stripe charges occur at approval unless the customer has an accepted invoice arrangement; specific charge dates should be displayed in the checkout or order.

7. Standard and Specialized Engaged Search

For a nonpromotional Engaged Search, the customer provides one $3,900 Hiring Credit as the upfront commitment. The credit is applied to the full professional fee of 15% (Standard) or 20% (Specialized) of first-year base salary; the balance becomes due when the hired candidate joins. A RecruiterOS conversion transfers the existing redeemed credit at the standard $3,900 value in lieu of another upfront payment. The amount may be calculated from the accepted starting base salary, subject to a preapproved written alternative for commission-heavy arrangements. The HiringOS Service Terms govern candidate protection and additional hires.

8. One-time introductory Engaged Search coupon

When a qualifying first-time customer uses the OneSource-approved promotional code for its first Standard or Specialized Engaged Search, the $3,900 upfront Hiring Credit payment is waived upon approval of the Hiring Kit/Search Order. No $3,900 credit is deducted from the percentage fee. The full 15% or 20% professional fee is payable upon the placed candidate’s joining. The approved order must visibly state that the upfront payment is waived but the placement fee remains payable in full. This promotion does not apply automatically to Retained Executive Search or stack with a prior RecruiterOS conversion credit.

9. Retained Executive Search milestone payments

For Retained Executive Search, total professional fee is 25% of first-year base salary. The upfront $3,900 Hiring Credit applies to total fee and funds strategy and market discovery. A further one-third of the total percentage fee is earned at search start, one-third at the first client interview, and the balance (less prior payments, including the Hiring Credit) upon joining. The Search Order must show the agreed estimated fee base, milestone amount, tax, and what adjustment occurs if final base salary differs. Only completed milestones are earned; unachieved future milestones are not automatically accelerated upon cancellation.

10. Invoices, due dates and disputes

For approved invoice customers, Net N means the specified invoice is due N calendar days after the invoice date unless the accepted Payment Terms Agreement expressly provides otherwise. Invoice disputes should be raised promptly by replying to the applicable invoice or contacting the billing representative identified in the customer’s HiringOS billing account; good-faith disputes do not excuse timely payment of undisputed earned charges. OneSource may request supporting records from the customer and will consider reasonable objections.

11. Cancellation, earned fees and refunds

Prepaid credits, redeemed services, and completed SearchOS milestones follow the detailed refund and cancellation rules in the HiringOS Service Terms, subject to mandatory law and any express written agreement. Earned milestones remain payable even if an order is paused or canceled; future milestones are not automatically due merely because a search ends early. Payments already made for earned milestones are generally not refundable subject to law. The $175 RecruiterOS Service Accountability Credit is a restricted wallet credit, not automatically a card refund or SearchOS credit. No contractual term prevents required legal refunds or adjustments.

12. Failed payments, delinquency and collections

For an unsuccessful Stripe payment or an overdue undisputed invoice, OneSource may provide electronic notice and a reasonable opportunity to cure. If the undisputed amount remains unpaid after notice, OneSource may suspend new orders, additional credit redemptions or affected service activity to the extent lawful and practicable, while preserving required privacy, candidate communications and record-access obligations. No automatic late fee or interest charge is imposed under these Billing and Payment Terms. Suspension does not cancel earned payment obligations.

13. Taxes, recordkeeping and contact

Applicable transaction taxes, if any, will be disclosed at purchase or invoicing and may depend on the service, jurisdiction and documentation. Customers must maintain current invoice contacts and approved billing information.
